Welcome to TransferDash. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "User," or "you") and TransferDash ("Company," "we," "our," or "us") governing your access to and use of our website, mobile applications, products, and services (collectively, the "Services").

By accessing our website, creating an account, or placing an order, you expressly acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy and Refund & Reprint Policy.

IMPORTANT NOTICE: If you do not agree with any part of these Terms, you are strictly prohibited from using our website or utilizing our Services.

1. Eligibility & User Representations

By utilizing our Services, you represent, warrant, and covenant that:

  • • You are at least 18 years of age (or the age of majority in your jurisdiction) and possess the full legal authority to enter into binding contractual agreements.
  • • All registration, billing, and shipping information you provide is accurate, current, and complete.
  • • Your use of our Services does not, and will not, violate any applicable local, state, national, or international laws or regulations.

2. Products, Services, & Modifications

TransferDash specializes in custom Direct-to-Film (DTF) transfers, custom apparel printing supplies, and related fulfillment services.

  • • Color Variations & Proofing: Due to variations in monitor calibrations, technical printing processes, and material substrate characteristics, actual product colors may vary slightly from on-screen representations. Product images on our website are strictly for illustrative purposes.
  • • Modifications and Availability: We reserve the right, at our sole discretion and without prior notice, to modify, update, discontinue, or limit the production of any product, service, or specification.
  • • Pricing Adjustments: All prices are subject to change at any time prior to order confirmation.

3. Customer Accounts & Security

To access specific features or place orders, you may be required to register for a customer account. You agree to assume full responsibility for:

  • • Maintaining the strict confidentiality of your account credentials (username and password).
  • • Restricting unauthorized access to your computer, mobile devices, and account.
  • • All activities, transactions, and liabilities that occur under your account.

TransferDash reserves the right to suspend, restrict, or terminate your account at our sole discretion, without liability, if we suspect any breach of these Terms, fraudulent activity, or misuse.

4. Artwork Submission & Intellectual Property Warranty

As a custom manufacturing service, TransferDash relies entirely on customer-provided assets. You retain full ownership of any artwork, designs, logos, text, or graphics (collectively, "Content") that you upload.

Your Warranties & Representations

By submitting Content to TransferDash, you grant us a limited, non-exclusive, royalty-free, worldwide license solely to process, store, reproduce, and print the Content for the purpose of fulfilling your order. You expressly represent and warrant that:

  • • You are the sole owner of the Content, or you have obtained all necessary valid licenses, permissions, and legal rights from the copyright/trademark owner.
  • • The Content does not infringe upon the intellectual property, privacy, publicity, or proprietary rights of any third party.
  • • The Content complies with all regional laws regarding online content and manufacturing.

File Verification Disclaimer

Customers are solely responsible for reviewing and proofing all artwork prior to submission. TransferDash does not proofread, edit, or alter files. We disclaim all liability for production defects stemming from customer errors, including but not limited to:

  • • Typographical, grammatical, or spelling errors.
  • • Design, layout, or alignment mistakes.
  • • Incorrect sizing, scaling, or dimensions.
  • • Low-resolution, blurry, or poor-quality files.
  • • Incorrect color formatting (e.g., RGB vs. CMYK profiles).

5. Prohibited Content & Content Refusal

TransferDash maintains a strict zero-tolerance policy for illegal or harmful content. We reserve the absolute right to reject, cancel, or refund any order containing Content that we determine, in our sole discretion:

  • • Infringes upon any third-party patent, trademark, copyright, or trade secret.
  • • Contains unlawful, threatening, abusive, defamatory, or libelous material.
  • • Promotes hate speech, discrimination, violence, or systemic harassment against individuals or groups.
  • • Contains explicit obscenity, pornography, or sexually explicit content involving minors.
  • • Violates or encourages the violation of any federal, state, or local laws.

6. Proprietary Rights of TransferDash

Except for customer-submitted Content, all proprietary materials on our website—including but not limited to text, software, code, graphics, user interfaces, logos, trademarks, and branding assets—are the exclusive property of TransferDash and are protected by United States and international copyright, trademark, and intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our materials without explicit written consent.

7. Pricing, Payments, & Order Cancellations

  • • Payment Terms: Full payment of the total purchase price, including applicable shipping fees, handling costs, and taxes, is required at the time of order placement. No production will begin until payment is successfully processed and verified.
  • • Tax Obligations: You are responsible for all sales, use, value-added (VAT), or customs duties applicable to your order based on your delivery location.
  • • Right of Refusal: TransferDash reserves the right to cancel, revoke, or refuse any order at any stage of production if we detect pricing errors on the website, suspected fraudulent activity, unauthorized payment methods, or file compliance issues. In such events, a refund will be issued in accordance with our policies.

8. Production Timeline & Order Modifications

  • • Production Kickoff: The production timeline commences only after payment is processed and all artwork files meet our technical requirements.
  • • No Modifications: Due to our automated high-speed production workflow, orders cannot be modified, changed, or cancelled once production has started.
  • • Timelines are Estimates: All stated production, processing, and turnaround times are good-faith estimates and are not guaranteed unless explicitly agreed upon in writing via an authorized corporate representative.

9. Shipping, Delivery, & Risk of Loss

TransferDash utilizes independent, third-party shipping carriers (e.g., UPS, FedEx, USPS) to deliver orders.

  • • Transfer of Risk: The risk of loss, damage, and title for all products passes to you, the Customer, immediately upon our delivery of the shipment to the third-party carrier.
  • • Carrier Delays: TransferDash is not legally or financially liable for shipping delays, package losses, or delivery failures resulting from:
    • • Carrier operational errors or logistical disruptions.
    • • Adverse weather conditions or natural disasters.
    • • Customs clearances and import inspection delays.
    • • Incorrect, incomplete, or outdated shipping addresses provided by the Customer.

10. Refunds, Reprints, & Return Restrictions

Because our products are entirely custom-manufactured to your exact specifications, all sales are final. Custom transfers cannot be resold, returned, or exchanged.

  • • Defect Claims: If you receive a product with a manufacturing defect or an error directly caused by TransferDash, you must file a formal claim within the applicable window specified in our Refund & Reprint Policy (typically within [X] days of delivery).
  • • Inspection: You must inspect all goods immediately upon receipt. Failure to report defects within the designated timeframe constitutes a formal acceptance of the goods and a waiver of any future claims.

11. Disclaimer of Warranties

YOUR USE OF THE SERVICES AND PRODUCTS IS AT YOUR SOLE RISK. ALL PRODUCTS AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRANSFERDASH EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • • THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • • ANY WARRANTY THAT THE WEBSITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
  • • ANY WARRANTY REGARDING SPECIFIC BUSINESS RESULTS, REVENUE GENERATION, OR COMPATIBILITY WITH YOUR EQUIPMENT AND APPAREL SUBSTRATES.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRANSFERDASH, ITS DIRECTORS, EMPLOYEES, AFFILIATES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

  • • LOSS OF PROFITS, REVENUE, DATA, OR USE.
  • • LOSS OF GOODWILL, BUSINESS OPPORTUNITIES, OR REPUTATION.
  • • DAMAGES RESULTING FROM PRODUCTION DELAYS, SHIPPING INTERRUPTIONS, OR PRODUCT MISAPPLICATION.

MAXIMUM LIABILITY CAP: IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF TRANSFERDASH FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE ACTUAL AMOUNT PAID BY YOU TO TRANSFERDASH FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to defend, indemnify, and hold harmless TransferDash, its parent companies, subsidiaries, affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to reasonable attorney's fees) arising directly or indirectly from:

  • • Your use of and access to our website and Services.
  • • Your violation of any provision within these Terms of Service.
  • • Any claim that your submitted artwork or Content caused damage to a third party or infringed upon a third party's intellectual property rights (copyrights, trademarks, patents, or trade secrets).

14. Force Majeure

TransferDash shall not be held liable or responsible for any delay, failure in performance, or interruption of service resulting directly or indirectly from acts or events beyond our reasonable control. This includes, without limitation: acts of God, natural disasters, severe weather, governmental actions, war, riots, labor strikes or shortages, power grid failures, internet service provider disruptions, widespread supply chain blockages, or transportation disruptions.

15. Governing Law & Dispute Resolution

These Terms and your relationship with TransferDash shall be governed by, construed, and enforced in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles.

You agree that any legal action, lawsuit, or judicial proceeding arising out of or relating to these Terms or our Services shall be filed exclusively in the state or federal courts located in Dallas County, Texas, and you hereby irrevocably consent to the personal jurisdiction of such courts.

16. Severability & Entire Agreement

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that specific provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall remain in full force and effect. These Terms constitute the entire agreement between you and TransferDash regarding our Services.

17. Changes to These Terms

We reserve the right, at our sole discretion, to update, alter, or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website or Services following the posting of any modifications constitutes formal acceptance of those changes.
